4.1 Fees. Client shall pay Provider a monthly fee of $7,500 $8,250, due within thirty (30) forty-five (45) days of invoice.
4.2 Late Payments. Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
5.1 Term. This Agreement continues for one two years from the Effective Date.

Frequently asked questions
Are my documents uploaded to a server?+
No — not unless you ask. Text extraction and comparison run entirely in your browser using JavaScript. The only times a document leaves your device are when you're signed in and the comparison is saved to your account, or when you explicitly approve secure cloud OCR for a scanned PDF (a Pro feature). Signed-out comparisons never touch a server.
Is this safe for privileged or confidential documents?+
The comparison itself happens locally on your machine, which makes it suitable for attorney-client privileged material. If you choose to save a comparison to your account, both source files and the extracted text are stored so the diff can be reopened — skip saving (or stay signed out) for documents that must never be stored.
What file types can I compare?+
Microsoft Word (.docx), PDF (.pdf), Markdown (.md), and plain text (.txt). You can also paste text directly without any file. Text-based PDFs — the kind exported from Word or Google Docs — are extracted right in your browser with a free account. Scanned PDFs need OCR, which is a Pro feature.
How are scanned PDFs handled?+
A scanned PDF is a stack of page images with no text layer, so it can't be compared on your device alone. When DocxDiff detects one — including mixed documents where only some pages are scanned, like an exhibit or a signature page — Pro users can approve secure cloud OCR: the file is sent over an encrypted connection to our OCR provider, text-based pages are read directly, only the scanned pages are OCR-processed, and the extracted text is returned to your browser for the comparison. Nothing is ever sent without your explicit approval — cancel the prompt and the document stays on your device.
How is this different from Word's Compare or Track Changes?+
Track Changes only works if everyone remembered to turn it on. DocxDiff compares any two versions after the fact — including a 'clean' document someone sent you — and produces a numbered, filterable redline plus exportable reports, with no Word license required.
Do I need an account?+
No. Comparing and exporting reports is free with no sign-in. An account (free) adds saved comparison history: reopen past redlines and re-download reports whenever you need them.
Does it compare formatting like bold or fonts?+
Not yet — DocxDiff compares text content at the word level, which is where substantive changes live. Formatting-level comparison is under consideration for Pro.
